We operate the website www.ladasinsights.com, as well as any other related products and services that refer or link to these Terms of Use (the “Legal Terms”) (collectively, the “Services”).

User Generated Contributions
The Services do not generally offer users the ability to publicly post content. However, if you provide any content, comments, feedback, suggestions, or other materials to us or through the Services (“Contributions”), you represent and warrant that:
your Contributions are original to you or you have the right to submit them;
your Contributions do not infringe the rights of any third party;
your Contributions are not false, misleading, unlawful, abusive, or otherwise objectionable; and
your Contributions comply with applicable laws and these Legal Terms.
You are solely responsible for your Contributions.
Contribution License
By providing us with feedback, suggestions, or other Contributions regarding the Services, you grant us the right to use, reproduce, modify, and otherwise use such Contributions for any lawful purpose related to our business and Services, without compensation to you, unless otherwise required by law.
We do not claim ownership of content that legally remains yours. However, by submitting Contributions, you confirm that you have the necessary rights to do so and that we may use such Contributions as described in these Legal Terms.
Services Management
We reserve the right, but not the obligation, to:
monitor the Services for violations of these Legal Terms;
take appropriate legal action against anyone who violates the law or these Legal Terms;
refuse, restrict, or disable access to the Services in our sole discretion;
remove any files or content that are excessive in size or burdensome to our systems; and
otherwise manage the Services in a manner designed to protect our rights and property and facilitate the proper functioning of the Services.
Term and Termination
These Legal Terms remain in full force and effect while you use the Services.
Without limiting any other provision of these Legal Terms, we reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person for any reason or no reason, including for breach of these Legal Terms or any applicable law or regulation.
We may terminate your use of the Services at any time, without warning, in our sole discretion.
Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason in our sole discretion without notice. We are not obligated to update any information on the Services.
We do not guarantee that the Services will always be available. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors.
We reserve the right to suspend, discontinue, or otherwise modify the Services at any time without notice. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during downtime or discontinuance.
Governing Law
These Legal Terms are governed by and interpreted in accordance with the laws of Finland, without regard to conflict of law principles.
You agree that the courts of Finland shall have exclusive jurisdiction over any dispute arising in connection with these Legal Terms or the Services, subject to the dispute resolution provisions below.
Dispute Resolution
Informal Negotiations
To help resolve any dispute, claim, or controversy arising out of or relating to these Legal Terms or the Services, you and we agree to first attempt to resolve the matter informally by contacting the other party in writing. The parties agree to attempt informal negotiations for at least 30 days before initiating formal legal proceedings.
Binding Arbitration
If a dispute cannot be resolved informally, the dispute may be referred to binding arbitration, unless prohibited by applicable law. The number of arbitrators shall be one. The seat of arbitration shall be Helsinki, Finland. The language of the proceedings shall be English. The governing law of these Legal Terms shall be the substantive law of Finland.
Restrictions
Any arbitration shall be limited to the dispute between the parties individually. To the fullest extent permitted by law:
no arbitration shall be joined with any other proceeding;
there is no right or authority for disputes to be arbitrated on a class-action basis; and
there is no right or authority for disputes to be brought in a representative capacity on behalf of the general public or other persons.
Exceptions
The following disputes are not subject to informal negotiations or binding arbitration to the extent permitted by law:
disputes seeking to enforce or protect intellectual property rights;
disputes related to allegations of theft, piracy, privacy invasion, or unauthorized use; and
claims for injunctive or other equitable relief.
If any part of this dispute resolution section is found unenforceable, the remaining provisions will still apply to the fullest extent permitted by law.
Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, or other details. We reserve the right to correct any errors, inaccuracies, or omissions and to update the information on the Services at any time without prior notice.
Disclaimer
The Services are provided on an “as is” and “as available” basis. You agree that your use of the Services is at your sole risk.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranties or representations about the accuracy or completeness of the Services’ content or the content of any linked websites or third-party services, and we assume no liability for any errors, mistakes, interruptions, unauthorized access, bugs, viruses, or other harmful components.
Limitations of Liability
To the fullest extent permitted by law, in no event will we, our directors, employees, or agents be liable to you or any third party for any indirect, consequential, incidental, special, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, or other damages arising from your use of the Services.
Notwithstanding anything to the contrary, our total liability to you for any cause whatsoever shall be limited to the lesser of the amount paid, if any, by you to us in the six months prior to the cause of action arising, or one hundred euros (€100), to the extent permitted by law.
Certain laws may not allow some limitations or exclusions of liability, so some of the above limitations may not apply to you.
Indemnification
You agree to defend, indemnify, and hold us harmless, including our affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees, arising out of or relating to:
your use of the Services;
your breach of these Legal Terms;
your violation of the rights of a third party, including intellectual property rights; or
your violation of applicable law.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
User Data
We may maintain certain data that you transmit to the Services for the purpose of managing performance and improving the Services, as well as data relating to your use of the Services.
Although we perform routine backups where appropriate, you are solely responsible for any data you transmit or any activity you undertake using the Services. You agree that we shall have no liability to you for any loss or corruption of such data.
Electronic Communications, Transactions, and Signatures
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.
You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and transaction records initiated or completed by us or through the Services.
Miscellaneous
These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us.
Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of that right or provision.
If any provision of these Legal Terms is found unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
These Legal Terms do not create any joint venture, partnership, employment, or agency relationship between you and us.
We may assign our rights and obligations under these Legal Terms at any time.
